Terms of Service

1. Introduction

Welcome to Searchable Filing Cabinet, operated by DB Software LLC, a Minnesota Limited Liability Company (“we,” “us,” or “our”). These Terms of Service (“Terms”) govern your use of our website (searchablefilingcabinet.com) and services, which allow you to upload, store, and download documents. By accessing or using our service, you agree to be bound by these Terms. If you do not agree, do not use the service.

2. Service Description

Searchable Filing Cabinet offers a cloud-based platform for document storage and management. We provide three subscription tiers:

• Free: Up to 100 documents per month, 10GB total storage.
• Basic: Up to 1000 documents per month, 100GB total storage.
• Premium: Up to 5000 documents per month, 1TB total storage.

Access to features is limited to your subscribed tier. The service is provided “as is,” and we do not guarantee uninterrupted availability or error-free operation.

3. User Content

You are solely responsible for the documents you upload, store, or download (“User Content”). Uploading is at your own risk, and we are not liable for unauthorized access, data loss, or breaches, except in cases of our gross negligence. You must not upload:

• Illegal content (e.g., copyrighted material without permission, malware, defamatory content).
• Legally regulated data (e.g., HIPAA-protected health information, PCI-DSS financial data, GDPR personal data without compliance).

We do not actively review User Content but reserve the right to remove content or suspend accounts for violations. You grant us a non-exclusive, worldwide, royalty-free license to store, process, and index your User Content to provide the service.

4. Payments and Subscriptions

Payments are processed securely via Stripe’s Billing Portal, accessible at searchablefilingcabinet.com when logged in. We do not store credit card details, addresses, or names. Subscriptions are auto-renewing and may be canceled through the Stripe Billing Portal. No refunds are offered; you may use the service until the paid period expires.

If you fail to pay (e.g., subscription becomes unpaid or canceled), we may suspend your account and delete your data after a 60-day grace period. We will notify you via your registered email at least 30 days before deletion.

5. Security

We store your data securely in Amazon Web Services (AWS) using encryption at rest and IAM temporary credentials for request authorization. While we implement reasonable security measures, we are not liable for unauthorized access or data breaches, except in cases of gross negligence.

6. Acceptable Use

You must not:

• Upload illegal or regulated content, as described in Section 3.
• Attempt to bypass quotas, overload servers, or disrupt the service.
• Use the service for unlawful purposes.

Violations may result in account suspension or termination.

7. Termination

We may terminate or suspend your account for non-payment, violation of these Terms, or at our discretion with notice. You may terminate your account by canceling your subscription via the Stripe Billing Portal. Upon termination, your data may be deleted after a 60-day grace period.

8. Limitation of Liability

To the fullest extent permitted by law, DB Software LLC is not liable for any indirect, incidental, or consequential damages arising from your use of the service, including data loss, breaches, or service interruptions. Our total liability is limited to the amount you paid in the preceding 12 months.

9. Governing Law

These Terms are governed by the laws of the State of Minnesota, without regard to conflict of law principles. Any disputes will be resolved in the state or federal courts of Minnesota.
